iVerifier Product Addendum

This iVerifier Product Addendum (the “Addendum“) is incorporated into and made part of the Master Services Agreement (the “MSA“) by and between TokenWorks, Inc. (“TokenWorks“) and Customer (“Customer“).

This Addendum applies to TokenWorks’ proprietary service, iVerifier (the “Product“), which is included within the Services offered by TokenWorks. By accessing the Product, Customer agrees to be bound by the terms and conditions of the MSA and this Addendum. All capitalized terms used in this Addendum shall have the meanings ascribed to them in the MSA, unless otherwise defined herein.

This Addendum is subject to all terms of the MSA, including but not limited to the limitations of liability, indemnification provisions, and dispute resolution procedures set forth therein. This Addendum becomes effective as of the date Customer first accepts the MSA or first accesses or uses the Product (the “Effective Date“).

Product

iVerifier is a pay-per-use driver’s license and identification card verification service that cross-references scanned identification document data against participating US state Department of Motor Vehicles (DMV) databases. iVerifier is designed to verify the authenticity and validity of scanned driver’s licenses, driving permits, and identification cards against official state DMV records. Currently, iVerifier is integrated with participating Department of Motor Vehicles in 44 US jurisdictions.

Delivery Method

The Product is accessible through TokenWorks’ ID scanning hardware and software products, via the TokenWorks Portal at idscanner.com, and/or through API integration with Customer’s systems, as made available by TokenWorks.

Fees

iVerifier is offered on a credit-based pricing model. Current pricing for iVerifier credits is available at idscanner.com or by contacting TokenWorks directly. For volume pricing, enterprise packages, or custom pricing arrangements, please contact TokenWorks through the contact information provided in Section 13 of this Addendum.

Subscription/Purchase Model

The Product operates on a pay-per-use model via pre-purchased credits. Customers must purchase iVerifier credits in advance to use the service. Each verification query consumes one (1) credit from the Customer’s credit balance, regardless of the outcome of the verification.

Section 1: Scope; Product Details

This Addendum governs Customer’s use and access to the Product and incorporates all terms of use and limitations as part of the Services under the MSA. The following conditions apply to Customer’s use of iVerifier:

  1. Customer must maintain an active TokenWorks account and maintain an applicable ID scanning product subscription in order to access and use the Product.
  2. Customer must purchase and maintain a credit balance in order to perform iVerifier verifications. No verifications will be processed when Customer’s credit balance is zero.
  3. TokenWorks reserves the right to modify the Product at any time for reasons of quality, performance, delivery, or compliance with applicable law. TokenWorks will use commercially reasonable efforts to provide notice of material modifications.
  4. The availability of the Product is dependent upon the participation of individual state DMV jurisdictions. TokenWorks does not guarantee the availability of iVerifier verification services for all US states or jurisdictions. Currently, 44 US state DMVs participate in the iVerifier network.
  5. TokenWorks reserves the right to add or remove participating state DMV jurisdictions at any time based on agreements with state DMV authorities, changes in state laws, technical limitations, or other business reasons. TokenWorks will use commercially reasonable efforts to provide notice of changes to participating jurisdictions.

Section 2: Integration

1. Customer Responsibility. Customer is solely responsible for the integration of the Product into Customer’s technical environment (the “Customer Environment“). This includes all hardware, software, network connectivity, and infrastructure requirements necessary to support the Product. Customer acknowledges that the performance and reliability of the Product may be affected by the configuration, quality, and maintenance of the Customer Environment.

2. No Compatibility Guarantee. TokenWorks makes no guarantee that the Product will be compatible with all hardware and software configurations in the Customer Environment. If Customer requires integration services or customization to achieve compatibility with its Customer Environment, such services may be subject to additional Fees and will be governed by a separate Statement of Work (SOW). TokenWorks shall have no liability for any issues arising from incompatible third-party software, improper configuration of the Product, or modifications to the Product made by Customer or third parties following integration. TokenWorks shall not be responsible for service level agreement (SLA) failures to the extent such failures are caused by or arise from issues in the Customer Environment.

3. Customer Environment Security. Customer is solely responsible for the security of its Customer Environment, including all systems, networks, and data processing that occurs within the Customer Environment. Customer shall implement appropriate security measures to protect the confidentiality and integrity of data in the Customer Environment.

Section 3: Credits and Billing

1. Credit Purchase. Customer must purchase iVerifier credits to use the Product. Credits are available for purchase through the TokenWorks Portal or at idscanner.com at the prices displayed thereon. Payment terms are governed by the MSA and applicable invoices.

2. Credit Consumption. One (1) credit is consumed each time Customer performs a iVerifier verification on a scanned identification document. One credit is consumed regardless of the result of the verification, including but not limited to match results, no-match results, or error responses returned by the participating state DMV database.

3. Credit Expiration. Purchased credits do not expire and will remain in Customer’s account indefinitely until either: (i) the credits are used for iVerifier verifications; or (ii) Customer’s account is terminated in accordance with the terms of the MSA. Upon account termination, any unused credits will be forfeited and no refund shall be issued unless required by applicable law.

4. Non-Transferability. Credits are non-transferable between accounts unless expressly authorized by TokenWorks in writing. Customer may not sell, trade, or transfer credits to any other party.

5. Non-Refundable. All purchased credits are non-refundable, except to the extent required by applicable law. This applies regardless of whether credits are used or the results obtained from iVerifier verifications.

6. Price Changes. TokenWorks reserves the right to adjust credit pricing at any time with notice. Price changes shall apply only to credits purchased after the effective date of the price change and shall not affect previously purchased unused credits remaining in Customer’s account.

Section 4: Usage Limits; Overages

1. Per-Verification Licensing. The Product is licensed on a per-verification basis. Each iVerifier verification query submitted through the Product constitutes one “Verification” and will consume one (1) credit from Customer’s credit balance, regardless of the outcome, including but not limited to pass results, fail results, no result responses, or error responses returned by the participating state DMV database. Customer may purchase additional credits at any time through the TokenWorks Portal or at idscanner.com.

2. Credit Balance Monitoring. Customer is responsible for monitoring its credit balance to ensure sufficient credits are available for intended use. TokenWorks may provide low-balance notifications as a courtesy, but TokenWorks is not obligated to do so and shall have no liability for Customer’s failure to maintain an adequate credit balance. If Customer’s credit balance reaches zero, the Product will not process additional Verifications until additional credits are purchased. TokenWorks reserves the right to implement technical measures to prevent use of the Product when no credits are available.

3. Usage Review. TokenWorks reserves the right to review Customer’s usage logs and records at any time to verify proper and lawful use of the Product. All information obtained during such review shall be treated as Confidential Information of Customer and shall be protected according to the confidentiality obligations set forth in the MSA.

Section 5: Third Party Code

The Product may contain or utilize third-party licensed code (the “Third-Party Code“). With respect to Third-Party Code:

  1. The Third-Party Code is the Confidential Information of its respective licensors or rights holders;
  2. Title to the Third-Party Code remains with its owner and is not transferred to Customer;
  3. Customer may not use the Third-Party Code separate and apart from the Product;
  4. Customer may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Third-Party Code. Limitations of liability and exclusions of damages set forth in the MSA apply to Third-Party Code. The respective licensor of Third-Party Code is excluded from any liability under the MSA, and Customer’s exclusive remedy for Third-Party Code is through TokenWorks as set forth in the MSA.

TokenWorks makes no warranties on behalf of third-party vendors or licensors and expressly disclaims all representations and warranties regarding Third-Party Code except as expressly set forth in the MSA.

Section 6: Pilots & Trials

1. Pilot Program. TokenWorks may offer Customer a free trial or pilot evaluation of the Product (a “Pilot“) at TokenWorks’ sole discretion. A Pilot may include a limited number of complimentary credits for evaluation purposes at no charge.

2. Pilot Duration. A Pilot begins upon Customer’s acceptance of the MSA and ends upon the earlier of: (i) the expiration of the trial period specified by TokenWorks; or (ii) the exhaustion of any complimentary credits provided for the Pilot. Registration may be required to participate in a Pilot.

3. Pilot Terms. During a Pilot, the Product is provided “AS IS” with all defects and without warranty of any kind. Service level agreements (SLAs) and support obligations do not apply to Pilots. Customer has no obligation to indemnify TokenWorks during a Pilot period.

4. Upgrade to Paid Service. To continue using the Product after a Pilot expires or complimentary credits are exhausted, Customer must upgrade to a paid subscription by purchasing credits through the TokenWorks Portal or by contacting TokenWorks. If Customer does not upgrade to paid service, access to the Product will be terminated. TokenWorks may automatically charge Customer’s payment method on file if Customer continues to access and use the Product without upgrading to paid service.

Section 7: Ongoing Testing

TokenWorks may offer Customer access to a test environment using a designated test key or test credentials (a “Test Key“). Customer may perform unpaid Verifications using the Test Key solely for the purposes of quality assurance (QA), ongoing testing, and user acceptance testing (UAT). The Test Key is provided exclusively for these purposes and under no circumstances may be used to perform production Verifications or for any commercial purpose. Customer acknowledges that it will be charged all fees and costs associated with any third-party software or services used in connection with the Test Key, if applicable.

Section 8: Discounts & Bundled Pricing

1. Promotional Discounts. TokenWorks may, at its sole discretion, offer discounts, promotional pricing, or special offers related to the Product. TokenWorks may terminate any promotional pricing or discount at any time with notice to Customer. Promotional pricing shall not apply to renewals or extensions unless expressly stated in the promotional terms.

2. Bundled Pricing. If Customer has subscribed to multiple TokenWorks services or products at a bundled or package rate, the bundled pricing is contingent upon Customer maintaining subscriptions to all services included in the bundle. If Customer cancels any service included in the bundled pricing arrangement, the remaining services will revert to standard pricing applicable at the time of the cancellation.

Section 9: Beta Features

1. Optional Beta Access. TokenWorks may, at its sole discretion, offer Customer access to beta features, functionality, or integrations related to the Product (collectively, “Beta Features“). Beta Features are optional and Customer is under no obligation to use them.

2. Beta Disclaimer. Beta Features are in development and are not final or complete. Beta Features may contain bugs, errors, and other defects and may cause system disruptions, data loss, or other issues. TokenWorks makes no warranties regarding Beta Features and provides them on an “AS IS” basis. TokenWorks has no obligation to release any Beta Feature as a commercial offering.

3. Discontinuation. Customer agrees to discontinue use of any Beta Feature immediately upon TokenWorks’ request. TokenWorks may discontinue Beta Features at any time without notice or liability.

4. Data Collection. TokenWorks may collect usage data, crash reports, performance metrics, and other technical information from Customer’s use of Beta Features for the purpose of improving the Product and services. Customer consents to such data collection.

5. Confidentiality of Beta Information. Customer acknowledges that information about Beta Features, including their existence, capabilities, and performance characteristics, may be confidential and proprietary to TokenWorks. TokenWorks may share Customer’s Confidential Information regarding beta usage with third parties for the purpose of improving products and services, subject to applicable confidentiality obligations.

Section 10: Data Processing and DMV Data

1. DMV Database Queries. Customer acknowledges and agrees that when Customer uses the Product, verification queries are transmitted to participating state DMV databases. The use, handling, retention, and access to data returned from state DMV databases may be subject to additional restrictions, requirements, and limitations imposed by the respective state DMV authorities and applicable federal and state laws.

2. Lawful Use Only. Customer shall use the results of iVerifier verifications solely for lawful identity verification purposes and shall not use iVerifier results for any purpose prohibited by applicable law. Customer specifically agrees not to use iVerifier results for:

  1. Determining creditworthiness or credit eligibility;
  2. Making employment decisions or determining employment eligibility;
  3. Determining eligibility for insurance or setting insurance rates;
  4. Stalking, harassment, surveillance, or any unlawful monitoring of individuals;
  5. Any purpose that would violate the Driver’s Privacy Protection Act (DPPA), 18 U.S.C. §§ 2721-2725, or any applicable state equivalent or successor statute; or
  6. Any purpose prohibited under applicable federal, state, or local law.

3. Regulatory Compliance. Customer is solely and entirely responsible for ensuring that its use of the Product complies with all applicable federal, state, and local laws and regulations, including but not limited to: (i) the Driver’s Privacy Protection Act (DPPA); (ii) applicable state DMV data use agreements and policies; (iii) identity theft and fraud prevention laws; (iv) state-specific privacy laws; and (v) all other applicable legal requirements governing the use of motor vehicle records and identification data.

4. No Data Retention by TokenWorks. TokenWorks does not store or retain the raw data results returned by DMV databases beyond the time necessary to transmit the verification response to Customer. DMV query results and responses are not included in TokenWorks’ standard data backups, exports, or archival systems. TokenWorks maintains audit logs of verification requests for security, compliance, and dispute resolution purposes only.

5. No Accuracy Warranties. TokenWorks makes no representations, warranties, or guarantees regarding the accuracy, completeness, timeliness, or reliability of data provided by participating state DMVs. iVerifier results are provided on an “AS-IS” basis without any warranty of fitness for a particular purpose. Customer acknowledges that iVerifier results should be used as one factor among many in its overall identity verification process and should not be relied upon as the sole basis for any decision or action.

Section 11: Modification

TokenWorks may modify this Addendum at any time by posting the modified Addendum on tokenworks.com or idscanner.com or by providing written notice to Customer via email at the email address associated with Customer’s account. Such modifications shall become effective upon Customer’s continued use of the Product following the posting or receipt of notice of the modification. Customer may not modify this Addendum or any terms thereof.

Section 12: Disputes

Any disputes arising out of or related to this Addendum, the Product, or the MSA shall be governed by and resolved in accordance with all terms, conditions, and procedures set forth in the MSA, including any dispute resolution, arbitration, or litigation provisions contained therein.
