This IDVisor Product Addendum (the “Addendum”) is incorporated into and made part of the Master Services Agreement (the “MSA”) by and between TokenWorks and Customer, or any other written or electronic agreement entered into by and between Customer and TokenWorks. This Addendum applies to TokenWorks’ proprietary service, IDVisor (the “Product”), including any SDK or API versions of the Product, web library, and developer tools, that are included within Services offered by TokenWorks that Customer purchases and accesses pursuant to the MSA and this Addendum.
By accessing the Product, Customer agrees to be bound by the MSA and this Addendum. All capitalized terms not defined herein shall have the meanings ascribed to them in the MSA. This Addendum is subject to all terms and conditions of the MSA, including without limitation the limitations of liability set forth therein, except as expressly stated herein to the contrary. This Addendum becomes effective as of the date Customer first accepts the MSA or first accesses or uses the Product, as applicable (the “Effective Date”).
IDVisor, including any SDK or API versions of the Product, web library, and developer tools, as offered by TokenWorks from time to time.
Downloadable software files accessed via the TokenWorks website available at idscanner.com, through the Google Play Store, through the Microsoft Store, or as otherwise provided by TokenWorks.

Monthly or annual, as selected by Customer during purchase or subscription setup.
This Addendum governs Customer’s use and access of the Product and establishes the terms of use and limitations associated with the Product as part of the Services provided by TokenWorks. The Product is subject at all times to the terms and conditions of the MSA.
Following a valid purchase of a subscription to the Product, Customer may download the Product through one or more of the Delivery Methods specified above. Customer may change its Product tier or subscription type through the TokenWorks Portal at any time, and such changes may affect the Fees charged to Customer going forward.
TokenWorks reserves the right to make changes to the Product in its sole discretion for purposes of maintaining quality, improving performance, ensuring proper delivery of the Product, or ensuring compliance with applicable law or regulations. TokenWorks will use commercially reasonable efforts to notify Customer of material changes to the Product.
Customer is solely responsible for the integration of the Product into Customer’s systems, applications, infrastructure, and/or environment (collectively, the “Customer Environment”). This includes the procurement, installation, configuration, and maintenance of all hardware, software, operating systems, internet connectivity, and other systems necessary for proper use of the Product. The performance and functionality of the Product may be significantly affected by the capabilities, configurations, and conditions of the Customer Environment.
TokenWorks does not warrant that the Product will be compatible with all hardware devices, software applications, operating systems, or configurations. Customer is responsible for determining compatibility within its Customer Environment prior to deployment. Integration services beyond standard installation may be available from TokenWorks subject to additional Fees and a mutually agreed upon Statement of Work. TokenWorks shall have no liability for any malfunctions, data loss, service interruptions, or other failures arising from or related to: (i) incompatible third-party software or hardware within the Customer Environment; (ii) improper configuration or setup of the Product by Customer; or (iii) modifications or changes made to the Customer Environment after the initial integration of the Product. TokenWorks shall not be responsible for meeting any Service Level Agreement (SLA) if any failure is solely caused by limitations, outages, or failures within the Customer Environment or by incompatibilities with third-party software or hardware integrations.
Customer is responsible for the security and integrity of the Customer Environment. When the Product is integrated into the Customer Environment, Customer shall be solely responsible for implementing and maintaining industry-standard security measures, safeguards, and controls to prevent unauthorized access, use, modification, or disclosure of the Product or any data or information processed by the Product within the Customer Environment. TokenWorks shall not be responsible for any security breaches, unauthorized access, data exfiltration, or other security incidents resulting from vulnerabilities within the Customer Environment or from incompatibilities or security weaknesses in third-party software or hardware integrations.
Customer may subscribe to the Product on either a monthly or annual basis. Subscription terms, billing cycles, and renewal terms are as follows:
Monthly subscriptions are billed at the monthly rate published in the Fees section above. Monthly subscriptions automatically renew for successive one-month periods on the anniversary of the subscription start date, unless cancelled by Customer. Customer may cancel a monthly subscription at any time by accessing the TokenWorks Portal or by contacting TokenWorks directly. Upon cancellation, Customer’s access to the Product will continue until the end of the current monthly billing period, after which access will cease.
Annual subscriptions are billed at the annual rate published in the Fees section above, payable in full as a single advance payment. Annual subscriptions automatically renew for successive one-year periods on the anniversary of the subscription start date, unless cancelled by Customer prior to the renewal date. Upon renewal, Customer will be charged at the then-current annual rate, which may differ from the prior year’s rate. Customer may cancel an annual subscription at any time, but no refund of pre-paid Fees will be provided for cancellation during an active annual subscription period. Customer may convert from an annual subscription to a monthly subscription at any time through the TokenWorks Portal or by contacting TokenWorks, and such conversion will take effect upon the next renewal date.
The Product is licensed on a per-Device basis. “Device” means any single physical unit, including but not limited to any computer, workstation, terminal, mobile hardware device, or similar equipment, that is owned or controlled by Customer and upon which the Product is installed or accessed. Customer may modify the number of Devices permitted under its subscription at any time through the TokenWorks Portal, and such modifications may result in changes to the Fees charged to Customer. Customer is responsible for maintaining accurate records of the number of Devices upon which the Product is installed and in use.
If Customer exceeds the number of Devices permitted under its current subscription tier, Customer may be required to pay additional Fees commensurate with the overage or to modify its subscription to a higher-tier plan. TokenWorks reserves the right to implement technical measures and controls, including license keys, activation limits, and other technical safeguards, to prevent the use of the Product on more Devices than those authorized under Customer’s subscription.
The Product may contain software code or components licensed from third parties (collectively, “Third-Party Code”). Customer acknowledges and agrees to the following with respect to any Third-Party Code:
Notwithstanding the foregoing, TokenWorks makes no representations or warranties on behalf of third-party vendors or licensors. However, TokenWorks’ indemnities, warranties, and maintenance obligations under the MSA shall apply to Third-Party Code to the same extent as they apply to TokenWorks’ proprietary code, and the relationship between TokenWorks and Customer with respect to Third-Party Code shall be governed solely by the MSA and this Addendum.
TokenWorks may, at its sole discretion, offer Customer a free trial or complimentary pilot version or demonstration of the Product (a “Pilot”).
A Pilot period begins when Customer agrees to the MSA and ends upon the expiration of the trial period specified by TokenWorks (or, if no specific period is stated, upon reasonable notice by TokenWorks). To participate in a Pilot, Customer may be required to register for an account via the TokenWorks Portal. During a Pilot, certain features, functionality, or services may not be available. No Service Level Agreement or SLA shall apply during any Pilot period.
DURING A PILOT, THE PRODUCT IS PROVIDED “AS IS” WITH ALL FAULTS AND WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TokenWorks shall have no obligation to indemnify Customer during a Pilot period.
At the conclusion of a Pilot period, Customer may upgrade to a paid subscription by accessing the TokenWorks Portal or by contacting TokenWorks directly. If Customer does not upgrade to a paid subscription upon expiration of the Pilot period, Customer’s access to the Product will cease and any data or information associated with the Pilot account may be deleted. If Customer fails to upgrade at the end of a Pilot period and does not request cancellation, Customer may be automatically charged at the then-current rate for a paid subscription to the Product, and Customer agrees that this constitutes Customer’s authorization for TokenWorks to charge the payment method on file.
TokenWorks may, in its sole discretion, offer Customer discounts, reduced Fees, promotional rates, or other special pricing for the Product or Services. TokenWorks may terminate any discount, promotion, or special pricing at any time upon written notice to Customer, and upon termination, Customer will be charged the standard Fees for the applicable tier.
TokenWorks reserves the right to offer discounted rates for bundled Services, where the Product is offered together with other services or products. If Customer cancels or terminates any component of a bundled Services offering, Customer shall thereafter be charged the standard Fees for each remaining Service, and the bundled discount shall no longer apply.
TokenWorks may, from time to time, offer beta, pilot, or pre-release versions of additional features, functionality, or services (collectively, “Beta Features”). Customer may opt-in to use Beta Features at its discretion.
Beta Features are in development and have not been fully tested or released. They may contain errors, bugs, defects, or other issues, and their functionality may change or be discontinued at any time. TokenWorks makes no representation or warranty that any Beta Feature will be released as a commercial product or that it will be incorporated into the Product.
At any time and in TokenWorks’ sole discretion, TokenWorks may require Customer to immediately cease using Beta Features and to destroy all copies and derivatives thereof. In exchange for access to Beta Features, Customer acknowledges that TokenWorks may collect usage data, performance data, crash reports, and other technical information from Customer’s use of Beta Features. TokenWorks may perform human review, automated analysis, or machine learning operations on such data to improve and optimize the Product and Services, and to personalize Customer’s experience. Customer may be required to treat certain aspects of Beta Features as TokenWorks’ Confidential Information, and TokenWorks may impose additional confidentiality and use restrictions on Beta Features.
TokenWorks may modify this Addendum at any time by posting the updated Addendum on its websites at tokenworks.com or idscanner.com, or by sending written notice to Customer via email or other electronic means. Unless otherwise expressly stated in the modification notice, any modifications to this Addendum shall become effective immediately upon Customer’s continued access to or use of the Product after the effective date of such modifications. Customer may not modify this Addendum or any part thereof.
Any disputes arising from or related to this Addendum or Customer’s use of the Product shall be resolved in accordance with the dispute resolution, arbitration, and jurisdiction provisions set forth in the MSA.
